Refund Policy

This Refund Policy explains when and how you can obtain a refund for a Service purchased from FileMyBooks. It forms part of our Terms of Service. Capitalised terms used here have the meanings given to them in the Terms.

1. Scope

This policy applies to:

  • one-time Professional Fees paid for Services such as Pvt Ltd Company Registration and Trademark Registration;
  • recurring Professional Fees paid under subscription Services such as Annual ROC Compliance, Accounting + GST + TDS Filing, and the Startup Bundle;
  • the GST collected by us on those Professional Fees.

Government Fees, stamp duty, registry charges, court fees, and similar third-party amounts are governed by Section 6.

2. One-time Professional Fees

For one-time Services, the refund position depends on the stage at which you ask to cancel:

  1. Before we have started work — we have not collected documents from you, not contacted any authority, and not drafted any deliverable. Refund: 100 percent of the Professional Fee plus the GST collected on it.
  2. Work in progress, no statutory filing made — we have begun preparing your documents but have not yet filed anything with a government authority. Refund: a partial refund reflecting the unconsumed portion of work, at our reasonable assessment, plus the corresponding GST. We will share a brief work log on request.
  3. Statutory filing or registration already made — for example, the SPICe+ form has been submitted, the trademark application has been filed with the Trade Marks Registry, or an ROC form has been uploaded. Refund: none, because the professional work and the registry interaction have already been performed.

3. Trademark Registration — specific rules

Trademark filings are non-reversible once submitted to the Trade Marks Registry. The "stage at which we have started work" for a trademark application is reached as soon as we begin the public-search report or draft the application, whichever is earlier. Government Fees paid to the Registry under the Trade Marks Rules, 2017, are determined by the Registry and are not refundable by us once paid.

4. Subscription Services

For subscription Services such as Annual ROC Compliance, the Accounting + GST + TDS plans, and the Startup Bundle:

  • You may cancel a subscription at any time from your Customer Account or by writing to support@filemybooks.com. Cancellation takes effect at the end of the then-current billing cycle.
  • The Professional Fee for the current billing cycle is non-refundable, because recurring filings, advisory time, and bookkeeping for that cycle begin immediately upon successful payment.
  • Future cycles will not be billed once the cancellation is effective. Upcoming charges that you wish to stop must be cancelled before the next billing date — a pre-debit notification is sent by Razorpay before each charge in line with the RBI's e-mandate framework.
  • For the Startup Bundle, where one or more constituent Services have already been delivered (for example, the company has already been registered through us), the value of those delivered Services will be deducted from any pro-rated refund.

5. Plan changes inside a billing cycle

If you upgrade your plan inside a billing cycle, the change applies from the next billing cycle. The current cycle continues at the existing price. If you downgrade, the change applies from the next cycle, and no refund is issued for the unconsumed portion of the higher-tier cycle. We may, in our discretion, offer a credit toward future invoices in lieu of a refund.

6. Government Fees and other third-party charges

Government Fees, stamp duties, registry fees, court fees, and similar third-party charges are paid by us as a pure agent on your behalf. Such amounts are not refundable by us once they have been paid out, regardless of whether the underlying registration is granted, deferred, or rejected by the authority. Any refund of those amounts is governed by the rules and processes of the authority concerned, and we will reasonably assist you in pursuing such a refund where one is in principle available.

7. Failed and duplicate payments

If your payment instrument is debited but the Service is not allocated to your account (for example, due to a network failure during checkout), or if you are charged twice for the same order, contact us at support@filemybooks.com with the order ID and the Razorpay payment ID. We will investigate with Razorpay and refund any duplicate or unallocated charge in full. Razorpay's own settlement timelines apply to how quickly the refund reaches your account; for guidance, refer to Razorpay's Refund documentation.

8. Refund method and timelines

  1. All approved refunds are processed by us through Razorpay back to the original payment instrument used at checkout. We do not offer refunds to a different account, in line with RBI's guidelines on payment-aggregator refunds.
  2. Indicative timelines, depending on the payment method:
    • UPI: typically within 2 to 5 working days;
    • Debit cards: typically within 5 to 7 working days;
    • Credit cards: typically within 7 to 14 working days, subject to your card issuer;
    • Net banking: typically within 5 to 10 working days;
    • Wallets and AutoPay/e-NACH: typically within 5 to 7 working days.
  3. We will share the Razorpay refund reference once it is generated. The actual time for the refund to reflect in your account depends on your bank or card issuer.

9. How to request a refund

Email support@filemybooks.com from the email address registered on your Customer Account, with:

  • your order ID and the Razorpay payment ID (both visible in the thank-you email);
  • the Service name;
  • the date of purchase; and
  • the reason for the refund.

We may ask for additional information if needed to assess your request fairly.

10. Disputes and chargebacks

If you disagree with our refund decision, you may escalate the request to grievance@filemybooks.com. If still unresolved, you may pursue any remedies available to you under the Consumer Protection Act, 2019, the Consumer Protection (E-Commerce) Rules, 2020, or other applicable law. Initiating a chargeback through your card issuer or bank without first attempting to resolve the issue with us is strongly discouraged: chargebacks are investigated by Razorpay and your issuer, and may result in temporary suspension of the Service while the dispute is open.

11. No refund in case of breach

We may withhold or recover a refund where we reasonably determine that the order was placed in breach of these Terms — for example, through false information, attempted impersonation, or use of the Services for an unlawful purpose. In such cases, the underlying contract is voidable at our option under Section 19 of the Indian Contract Act, 1872.

12. Consumer grievance redressal

In compliance with the Consumer Protection (E-Commerce) Rules, 2020, our consumer grievance officer is reachable at grievance@filemybooks.com. Complaints are acknowledged within 48 hours and resolved within 1 month.

13. Changes to this policy

We may update this Refund Policy from time to time. The "Effective date" at the top indicates when it was last changed. The policy in force on the date you placed the order applies to that order; later changes apply only to orders placed after the change.
