These Terms of Service ("Terms") are a legally binding agreement between you and FileMyBooks. They govern your access to and use of the website at filemybooks.com and the compliance, legal, and accounting services we provide (collectively, the "Services"). By creating an account, placing an order, or otherwise using the Services, you acknowledge that you have read these Terms, our Privacy Policy, and our Refund Policy and that you agree to be bound by them.
1. Definitions
- "FileMyBooks", "we", "us", "our" — [REVIEW: registered legal entity name], a [REVIEW: company type] incorporated in India, having its registered office at [REVIEW: registered office address], CIN [REVIEW: CIN], GSTIN [REVIEW: GSTIN].
- "You", "your" — the natural person or entity that accepts these Terms, places an order, or uses the Services.
- "Customer Account" — the account you create on the website to manage your orders and Services.
- "Professional Fee" — the fee we charge for performing the Services, as displayed on the relevant service page at the time of purchase.
- "Government Fees" — fees, stamp duty, registry charges, court fees, and other amounts payable to a government or statutory authority in connection with a filing or registration.
- "Razorpay" — Razorpay Software Private Limited, the RBI-authorised Payment Aggregator that processes payments and refunds for the Services.
- "e-Mandate" — an e-NACH mandate on cards or a UPI AutoPay mandate established with Razorpay under the RBI's framework for processing of e-mandates.
2. Eligibility
You may use the Services only if:
- you are at least 18 years of age and competent to contract under the Indian Contract Act, 1872;
- you are not a person prohibited from receiving the Services under applicable Indian law (including persons or entities subject to sanctions or export controls); and
- where you are placing an order on behalf of a company, LLP, or other entity, you are duly authorised to bind that entity to these Terms.
By using the Services, you represent and warrant that you meet these requirements.
3. Customer Account and authentication
You sign in to your Customer Account using a one-time code sent to your registered email address. You are responsible for maintaining the confidentiality of your email account and for all activity that takes place under your Customer Account. You agree to notify us immediately at support@filemybooks.com if you suspect any unauthorised access. We may suspend a Customer Account that shows signs of unauthorised activity until we can verify the rightful user.
4. The Services
FileMyBooks offers the following Services, delivered by us in association with chartered accountants, company secretaries, and other professionals we engage:
- Pvt Ltd Company Registration — preparation and filing of incorporation forms with the Ministry of Corporate Affairs on your behalf, against a Professional Fee.
- Annual ROC Compliance — preparation and filing of annual returns and statutory forms required of a private limited company under the Companies Act, 2013.
- Accounting + GST + TDS Filing — bookkeeping services and recurring statutory filings under the CGST Act, the Income Tax Act, and the related rules, available in tiered subscription plans.
- Trademark Registration — preparation and filing of trademark applications with the Trade Marks Registry under the Trade Marks Act, 1999, on a per-application basis.
- Startup Bundle — a combined subscription that bundles registration and ongoing compliance Services as described on the relevant service page.
The exact deliverables, timelines, documents required, inclusions, and exclusions for each Service are set out on the corresponding service page at the time of purchase, and form part of these Terms by reference.
5. Pricing, taxes, and Government Fees
- Our published price for each Service is our Professional Fee. Government Fees are not included in our Professional Fee unless we expressly state so on the service page. We will inform you of the applicable Government Fees before they are incurred.
- All amounts are exclusive of applicable Goods and Services Tax ("GST") unless we say otherwise. The applicable rate of GST will be added at checkout and reflected on the tax invoice issued by us.
- Where we collect Government Fees from you to pay an authority on your behalf, we collect them as a pure agent. They are passed through to the authority without margin or markup, and are not refundable by us once paid out (see the Refund Policy).
- Prices may change from time to time. Price changes apply prospectively to new orders only. Existing recurring subscriptions continue at the price in force at the time of last successful charge until the subscription is cancelled or upgraded.
6. Payment terms and e-Mandate authorisation
- One-time Services. Payment is required in full before we begin work. Razorpay processes the payment; we receive payment metadata only. We do not see, store, or process your card number, CVV, UPI PIN, or net-banking credentials.
- Subscription Services. By signing up for a subscription Service, you authorise us, through Razorpay, to debit your chosen payment instrument automatically at the start of each billing cycle. The mandate is established as an e-NACH mandate on your card or as a UPI AutoPay mandate, in line with the RBI's framework for processing of e-mandates. You will receive pre-debit notifications from Razorpay as required by that framework.
- Failed charges. If a recurring charge fails, Razorpay may retry the debit in line with its retry schedule. If the charge remains unpaid past the grace period, we may suspend the Service and, after reasonable notice, cancel the subscription.
- Tax invoices. A GST-compliant tax invoice is emailed to you for every successful payment. You can also download past invoices from your Customer Account.
7. Customer obligations
You agree to:
- provide accurate, complete, and up-to-date information about yourself, your business, and the documents required to deliver the Service;
- respond promptly to our requests for information, signatures, and approvals — many filings have statutory deadlines that we cannot meet on your behalf without timely cooperation;
- keep credentials such as DSC tokens, GSTIN passwords, and Income-Tax e-Filing credentials confidential, sharing only what is strictly required and only via secure channels we provide;
- comply with all applicable laws, including the Companies Act, 2013, the CGST Act, 2017, the Income Tax Act, 1961, the Trade Marks Act, 1999, and any rules or regulations made thereunder; and
- not use the Services for any unlawful, fraudulent, or abusive purpose, including money laundering, financing of terrorism, tax evasion, or impersonation.
8. Service delivery and timelines
We will use commercially reasonable efforts to complete each Service within the timeline indicated on the relevant service page. However, statutory filing windows, registry processing times, and similar third-party actions are outside our control. Indicated timelines are estimates and are not guarantees, except where we expressly say so in writing.
9. Nature of professional services
FileMyBooks delivers professional services in association with qualified chartered accountants, company secretaries, and other professionals. Information on our website, including FAQs, guides, and status pages, is general in nature and is not a substitute for tailored professional advice. For specific advice on your situation, please engage us for the relevant professional Service. Where the Companies Act, the Chartered Accountants Act, the Company Secretaries Act, the Advocates Act, or the rules of the relevant professional body require the engagement of a specific professional, the relevant professional will be engaged either by us or by you, as the situation requires.
10. Intellectual property
All content on the website, including text, graphics, logos, the "FileMyBooks" name, and software, is owned by FileMyBooks or its licensors and is protected by Indian and international intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable licence to access and use the website for the purpose of receiving the Services. You retain ownership of the documents and information you upload; you grant us a limited, royalty-free licence to use them solely to deliver the Services you have ordered.
11. Acceptable use
You may not (and may not attempt to):
- reverse engineer, decompile, or interfere with the operation of the website;
- probe, scan, or test the vulnerability of any system or network underlying the Services without our prior written permission;
- introduce malware, scrape content at scale, or place automated load on our systems;
- use the Services to transmit content that is unlawful, infringing, defamatory, obscene, or that violates any third-party right;
- misrepresent yourself or anyone else, or use the Services to create false documents or filings; or
- use the Services in a way that violates the IT Act, 2000, the Indian Penal Code, the Bharatiya Nyaya Sanhita, 2023, or any other applicable law.
12. Suspension and termination
- By us. We may suspend or terminate your access to the Services if (a) we reasonably believe you have breached these Terms or any applicable law, (b) continuing the Service would expose us to legal or regulatory risk, (c) the Service has remained unpaid past its due date, or (d) we are required to do so by an order of a court or competent authority. Where reasonably practicable, we will give you prior notice and an opportunity to cure.
- By you. You may close your Customer Account or cancel any subscription Service at any time from your Customer Account or by writing to support@filemybooks.com. Cancellation takes effect at the end of the then-current billing cycle, subject to the Refund Policy.
- Effect of termination. On termination, your right to use the Services ceases immediately, but the provisions of these Terms that by their nature should survive (including those relating to fees due, intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.
13. Disclaimers
The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, FileMyBooks disclaims all warranties, express or implied, including those of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the website will be uninterrupted or error-free, or that any registry, filing, or government action will be approved within any particular time, or at all. Outcomes that depend on the discretion of a government authority, court, or third party are not guaranteed.
14. Limitation of liability
To the maximum extent permitted by law:
- FileMyBooks, its directors, employees, advisors, and processors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, revenue, goodwill, or data, arising out of or related to the Services, regardless of the cause of action;
- Our aggregate liability arising out of or related to the Services shall not exceed the Professional Fees actually paid by you to us, for the specific Service that gave rise to the claim, in the twelve months immediately preceding the event giving rise to the claim;
- Nothing in these Terms limits any liability that cannot be limited under applicable law, including liability for fraud or for death or personal injury caused by negligence.
15. Indemnification
You agree to indemnify, defend, and hold FileMyBooks, its officers, directors, employees, and processors harmless from any claim, loss, liability, damage, or expense (including reasonable legal fees) arising from or related to:
- your breach of these Terms;
- inaccurate, incomplete, or unlawful information or documents you provide;
- your violation of any law, regulation, or right of a third party; or
- your use of the Services contrary to these Terms.
16. Force majeure
Neither party shall be liable for any failure or delay in performance to the extent caused by an event beyond its reasonable control, including acts of God, fire, flood, pandemic, government action, lockdown, internet or power outage, or third-party service outage. The affected party shall use reasonable efforts to resume performance as soon as practicable.
17. Governing law and dispute resolution
These Terms are governed by the laws of India, without regard to conflict-of-law principles. Subject to the arbitration clause below, the courts at Mumbai shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.
Any dispute that cannot be resolved amicably between the parties within 30 days of written notice shall be referred to and finally resolved by arbitration, by a sole arbitrator appointed in accordance with the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Mumbai. The language of arbitration shall be English. The arbitral award shall be final and binding on the parties.
18. Notices
Notices to FileMyBooks must be sent in writing to legal@filemybooks.com with a copy to the registered office address above. Notices to you will be sent by email to the address registered on your Customer Account, or by a prominent notice on the website. Email notices are deemed received 24 hours after sending unless they bounce.
19. Severability and waiver
If any provision of these Terms is held to be invalid or unenforceable, that provision shall be limited to the minimum extent necessary so that the rest of these Terms remains in full force. No failure or delay by us in exercising any right under these Terms operates as a waiver of that right.
20. Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms to an affiliate or to a successor in connection with a restructuring, acquisition, or sale of assets, with notice to you.
21. Modifications
We may amend these Terms from time to time. We will post the revised Terms on the website with an updated "Effective date" and, for material changes, notify you by email at least 7 days before the change takes effect. Your continued use of the Services after that date constitutes acceptance of the revised Terms.
22. Entire agreement
These Terms, together with the Privacy Policy, the Refund Policy, the service-specific descriptions on the relevant service pages, and any order confirmation or subscription mandate, constitute the entire agreement between you and FileMyBooks in relation to the Services and supersede any prior agreement on the same subject matter.
23. Consumer grievance redressal
In compliance with the Consumer Protection (E-Commerce) Rules, 2020, you may contact our customer-grievance officer at grievance@filemybooks.com with any consumer-grievance arising from the Services. Complaints are acknowledged within 48 hours and resolved within 1 month, in line with the Rules.
